Vyral Terms of Service
Effective date: July 14, 2026
These Terms of Service ("Terms") govern your use of Vyral, a creator–brand matchmaking platform operated by Judah Adler, a sole proprietor based in the United States ("Vyral," "we," "us," or "our"). By creating an account or using the Vyral mobile application or related services (the "Service"), you agree to these Terms and to our Privacy Policy.
1. Eligibility
- You must be at least 18 years old to use the Service.
- The Service is currently offered to users located in the United States.
- If you use the Service on behalf of a company (e.g., as a Brand), you represent that you are authorized to bind that company to these Terms.
2. What Vyral Is (and Is Not)
Vyral connects content creators ("Creators") with brands ("Brands") for potential influencer-marketing partnerships. Vyral is a discovery and communication venue only. We are not a party to, and do not broker, guarantee, supervise, or enforce, any agreement, payment, campaign, or other arrangement between users. Any partnership you enter with another user is solely between you and that user, and you are responsible for your own contracts, payments, disclosures, and tax obligations.
You are solely responsible for complying with all laws applicable to your partnerships, including the FTC's endorsement and disclosure guidelines for sponsored content.
3. Your Account
- You are responsible for the accuracy of the information in your profile and for keeping your login credentials secure.
- You may not impersonate any person or entity, misrepresent your affiliation with any person or entity, or misstate your audience, follower counts, or engagement metrics.
- One account per person or business. You may not create accounts by automated means or on someone else's behalf without authorization.
4. Connected Social Media Accounts
You may connect social media accounts (Instagram, YouTube, TikTok) to display your statistics and content to other users. By connecting an account, you represent that it is yours and authorize Vyral to retrieve data from it through the platform's authorized API, as described in our Privacy Policy. Your use of each platform remains subject to that platform's own terms, including the YouTube Terms of Service and Meta's terms for Instagram.
5. Acceptable Use
You agree not to:
- Harass, threaten, defraud, or defame other users;
- Post content that is illegal, infringing, hateful, sexually explicit, or deceptive;
- Create fake profiles or misrepresent metrics, audience, promotions, or budgets;
- Spam other users or use the Service to send unsolicited commercial messages unrelated to a genuine partnership inquiry;
- Scrape, harvest, or collect data about other users, or access the Service by automated means;
- Circumvent rate limits, blocking features, or other technical safeguards;
- Reverse engineer, decompile, or interfere with the operation or security of the Service.
We may remove content, suspend, or terminate accounts that violate these Terms, and we respond to in-app reports of misconduct.
6. Your Content
You retain ownership of the content you submit to the Service (profile information, photos, messages, and content synced from connected platforms). You grant Vyral a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute that content solely to operate and promote the Service — for example, showing your profile and selected posts to other users for matchmaking. This license ends when your content is deleted from the Service, except where retention is required by law or the content has been shared with other users (e.g., messages you sent remain visible to their recipients).
You represent that you have the rights necessary to submit your content and that it does not violate any third party's rights.
7. Fees
The Service is currently free to use. We may introduce paid features in the future; if we do, we will provide notice and updated terms before you are charged anything.
8. Third-Party Services
The Service relies on third-party platforms and providers (including Meta/Instagram, Google/YouTube, TikTok, Phyllo, and Firebase). We do not control these services and are not responsible for their availability, accuracy, or conduct. Social metrics displayed on profiles are retrieved from these platforms and may be delayed or inaccurate.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT ANY MATCH OR PARTNERSHIP WILL RESULT FROM USE OF THE SERVICE, OR THAT ANY USER, PROFILE, OR METRIC IS ACCURATE OR TRUSTWORTHY. YOU USE THE SERVICE AND ENTER PARTNERSHIPS AT YOUR OWN RISK.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VYRAL AND ITS OPERATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE — INCLUDING ANY DEALINGS BETWEEN USERS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless Vyral and its operator from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, your partnerships with other users, or your violation of these Terms or applicable law.
12. Termination
You may stop using the Service or delete your account at any time (Profile → Settings → Delete Account). We may suspend or terminate your access at any time for violation of these Terms, risk to other users, or discontinuation of the Service. Sections 2, 6, and 9–14 survive termination.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in New York, and you consent to their jurisdiction. You and Vyral each waive any right to a jury trial and agree that claims may be brought only in an individual capacity, not as a class action.
14. Changes to These Terms
We may update these Terms from time to time. We will post the updated version at this URL and update the effective date; material changes will be announced in the app or by email. Continued use of the Service after changes take effect constitutes acceptance.
